本論文以虛擬資產平台客戶權益保護為核心，對虛擬資產交易平台監管法制進行比較研究。面對虛擬資產市場的快速發展及其潛在風險，世界各國陸續建立監管制度，以維護市場穩定並保障平台客戶權益。
本研究採用比較法分析，聚焦於國際標準（e.g. IOSCO）、歐盟MiCA、日本《資金結算法》及韓國《虛擬資產用戶保護法》，歸納出以下主要趨勢：
•客戶保護為核心原則：各國監管體系皆以保護客戶為首要目標，透過資產分離、資訊揭露、爭議解決等多層次機制加強保障。
•「同業同風險同監理」原則：監管標準依據活動的經濟實質而設計，避免監理套利。
•許可／註冊制度：多數國家要求虛擬資產服務提供者（VASP）取得許可或註冊，確保其具備經營與風險管理能力。
•客戶資產保護機制：普遍採用信託專戶、資產分離及賠償基金等措施，強化用戶資產安全。
•防範市場濫用：明確禁止市場操縱、內線交易、虛假陳述等不公平行為，並設有執法機制。
儘管各國監管體系呈現上述共通性，仍存在結構、資本要求、資產保護機制及國際協作等層面的差異。例如，歐盟採統一監理模式，日本實行雙軌制，韓國則制定專法並設高門檻與賠償基金。
本研究建議臺灣應建立統一法制架構、強化平台客戶保護、提升監理科技能力並促進國際合作。採取具彈性且以原則為導向的監管模式，才能在鼓勵創新與保護平台客戶間取得平衡，促進虛擬資產市場健康發展。

This thesis conducts a comparative study on the regulatory frameworks of virtual asset trading platforms, with a core focus on client protection. In response to the rapid development and unique risks associated with virtual assets, countries worldwide have gradually established regulatory systems to ensure market stability and safeguard client rights.
The research adopts a comparative legal analysis, examining international standards (IOSCO), the European Union’s Markets in Crypto-Assets Regulation (MiCA), Japan’s Payment Services Act, and South Korea’s Virtual Asset User Protection Act. The study identifies several universal trends:
•Client Protection as a Core Principle: All examined jurisdictions prioritize client protection, establishing mechanisms such as asset segregation, disclosure requirements, and dispute resolution.
•“Same Business, Same Risk, Same Regulation” Principle: Regulatory standards are applied based on the economic substance of activities, aiming to prevent regulatory arbitrage.
•Licensing/Registration Systems: Most countries require virtual asset service providers (VASPs) to obtain licenses or register, ensuring adequate operational and risk management capabilities.
•Client Asset Protection: Mechanisms such as trust arrangements, asset segregation, and compensation funds are commonly adopted to safeguard client assets.
•Market Abuse Prevention: Clear prohibitions against unfair trading practices, including market manipulation, insider trading, and false statements, are established, with corresponding enforcement measures.
Despite these commonalities, regulatory frameworks differ in structure, capital requirements, asset protection mechanisms, and the degree of international coordination. For example, the EU adopts a unified supervisory model, Japan employs a dual-track system, and South Korea enacts specialized legislation with high entry thresholds and compensation funds.
Based on these findings, the thesis offers policy recommendations for Taiwan, including establishing a unified legal framework, strengthening client protection mechanisms, enhancing supervisory technology, and promoting international cooperation. The research suggests that an adaptive, principle-based approach—balancing innovation and protection—is essential for building an effective regulatory regime for virtual asset trading platforms and ensuring healthy market development.
